Rider Services Agreement
Riders read and accept this agreement in the rider portal after they're approved.
Cypress Grind: EDW Ventures LLC, a Texas limited liability company doing business as Cypress Grind Co ("Cypress Grind", "we", "us").
Rider: the rider account named when this agreement is accepted, and the person accepting it for that account ("you").
1. Who can join
- You're 18 or older.
- If you accept for a business or brand, you have the authority to agree for it.
- Cypress Grind approves every rider before they join.
2. What Cypress Grind does for you
- Storefront: hosts your rider page at riders.cypressgrind.com, built with the Store Builder, or as a custom design billed as special project time.
- Portal: gives you a rider portal for your products, stock, orders, requests, statements and billing.
- Receiving: receives, counts and stores the stock you send in.
- Shipping: picks, packs and ships your orders from our Texas location to customers in the United States.
- Returns: receives customer returns and reports their condition.
- Extras and projects: adds paid extras and does special project work when we both agree (section 9).
3. You are the seller
- You are the seller and merchant of record for every sale of your products.
- You set your prices and run your own checkout. That's your own store or payment link, or a marketplace where you have a seller account.
- Customers pay you, not Cypress Grind. We never receive, hold, split or pass along your sales money, and we never deduct our fees from it.
- You hold any sales tax permit you need, and you collect and pay sales tax on your sales.
- You handle refunds, chargebacks and customer questions about payment. Your checkout sends order confirmations and receipts.
- Cypress Grind doesn't process your sales or payments, has no checkout or cart, and won't act as a marketplace provider for your sales.
- Cypress Grind has no authority to sell your products. We ship your stock only to fill an order you already sold and were paid for, or to return it to you. We never sell, display for sale, or hand out your products at our store or events.
- Our fees are never a percentage of, or based on, your sales.
4. Your stock
- Ownership: you own your stock the whole time it's with us. Ownership changes only if Cypress Grind buys specific units from you in a separate, documented purchase.
- Arrival: within 2 business days of stock arriving, we count it, put it away, and it shows in your portal, including anything that arrived damaged.
- Counts: counts change only when stock is received, shipped, returned, sent back or recounted, and every change is recorded. You can ask for a recount in the portal.
- Prohibited items: don't send hazardous materials, weapons, counterfeit or unlicensed goods, anything perishable, or anything illegal to ship. We can refuse those or send them back at your cost.
- Loss or damage in storage: if we lose or damage your stock while storing it, we credit you what the item cost you, up to $20 per item. For anything worth more, get our written approval of a higher amount before you send it.
- Insurance: Cypress Grind doesn't insure your stock beyond that credit. Insure your inventory yourself if you want more coverage.
5. Orders
- When an order counts: an order reaches us only after your customer has paid you. It's an instruction to ship, not a sale to us.
- How orders arrive:
- you enter it in the portal and confirm the customer already paid in full
- it comes from your own Stripe account through a read-only connection you set up
- our staff enter it for you
- Order details: you're responsible for sending the right items and a complete shipping address.
- Who ships: you choose who ships your new orders: always Cypress Grind, always you, or Cypress Grind unless we can't fill it and you can. You or we can switch a single order before it's picked. An order is never split.
- Orders you ship yourself:
- no Cypress Grind packing charge, and they don't count toward your monthly order volume
- you see the customer's name, address and phone number for those orders only
- you use those details only to ship that order, and keep them private
6. Shipping, what we promise
- Speed: we ship each order on the next business day after it's ready: we have the stock and a complete address.
- Business days are Monday to Friday, Central time, when the post office is open.
- An order that arrives Friday, Saturday or Sunday ships Monday. One that arrives at 12:01am Monday ships Tuesday.
- The days the post office is closed are listed in Exhibit B.
- Carrier: we use the most cost-effective service that fits the package, usually USPS Ground Advantage. You pay the actual label cost. You can ask for a faster service in a request.
- Tracking: every shipped order shows its carrier and tracking number in your portal.
- Packing: every order gets our premium packing at no extra charge. Packaging beyond that, for unusual items, is billed at actual cost.
- Our inserts: we may add a small Cypress Grind sticker or card to help spread the word about the program. It's free to you, never covers or replaces your branding, and never presents Cypress Grind as the seller.
- Undeliverable packages: you'll see it on the order in your portal. We reship once you confirm the address, and the new postage is at cost.
- Customers: you talk to your customers. Cypress Grind never contacts them.
- Shipping on hold: these promises don't apply while an order is on hold, waiting on stock or an address, or during a billing hold (section 10).
7. When something goes wrong
- Our packing mistake, such as the wrong item or size: we ship the right item and pay the postage for both packages, including getting the wrong one back, and there are no Cypress Grind fees on that order.
- Carrier loss or damage: we file the claim with the carrier, and whatever the carrier pays comes to you.
- Stock lost or damaged in storage: section 4.
- Credits: these come to you as credits on Cypress Grind's fees. They're taken off your next invoice, and any unused amount carries over. They're never refunds of your sales.
- Limit on liability: apart from those credits, Cypress Grind's total liability for any claim is limited to what you paid Cypress Grind in the 3 months before the claim. Cypress Grind isn't liable for lost sales, lost profits or other indirect losses.
8. Customer returns
- Returns come to us. We inspect them, put good items back in your stock or hold damaged ones, and report their condition in your portal.
- Each return is charged at your return rate (Exhibit A) plus postage.
- Any refund happens in your own store.
- Cleaning, repair or restoration isn't part of returns. If we ever do it, it's a separately stated special project charge.
9. Extras and special work
- Order extras:
- You can ask for an extra, such as a sticker sheet, an extra thank-you note or a QR code card.
- Nothing is added or charged until Cypress Grind approves it. We approve once we have what's needed to include it.
- Once approved, it goes into every order we ship for you from its start date and is charged per order.
- You or we can stop it at any time.
- Shrink-wrapping boards: charged per board when we wrap them.
- Special projects, such as custom storefront design: charged by the hour in 15-minute increments, with each piece of work described on your statement.
10. Fees and billing
- Prices: your prices are the price version on your agreement (Exhibit A), plus any offers or negotiated rates on your account. Your portal shows them.
- Setup: the one-time initial stock intake and setup charge applies when your first agreement starts, if your price version has one.
- Membership: paid in advance.
- It's charged on the 1st of each month to the card you save in the portal.
- Your first month is prorated by day.
- Until you add a card, it comes as an invoice by email.
- While your membership is waived by an offer, no card is needed.
- Card authorization: by adding a card, you authorize Cypress Grind to charge it:
- on the 1st of each month for your membership at your agreement's rate (a prorated amount for a partial first month)
- for your monthly invoices, only if you turn that on
You can update or remove the card in the portal at any time. You enter the card on Stripe's page, and Cypress Grind keeps only the brand, last 4 digits and expiry.
- Everything else: orders, storage beyond what's included, receiving, returns, postage, extras, projects and the like.
- These go on a monthly statement after the month ends, sent as an invoice with a pay link.
- The invoice is due 14 days after it's sent.
- It's charged to your card only if you turn that on.
- Due dates and holds:
- The membership charge is due 7 days after it's billed.
- If a charge isn't paid by its due date, Cypress Grind holds shipping from the next day until it's paid.
- During a hold, orders keep coming in and your stock stays set aside, but we don't pick, pack or ship.
- Orders you ship yourself, your storefront and your access to your data aren't affected.
- We email you when a card charge fails and try the card again once a day, up to 8 times.
- Offers: an offer or waiver lasts only for its dates and never turns into paid pricing on its own. We'll ask you to add a card before paid membership starts.
- Statements: your statements show only Cypress Grind's services and pass-through costs, never your product sales.
- Sales tax on our fees: sales tax isn't added to Cypress Grind's charges today. If the law requires it on the membership, it'll be a separate line, and we'll tell you at least 30 days before it starts.
11. Price changes
- Your per-order rate drops automatically as your monthly order volume grows.
- Any other change to your prices comes with at least 30 days' notice by email, and your portal shows your current and new prices side by side.
- If you don't want to continue at the new prices, leave before they start. You won't pay them, and we'll send your stock back free.
- Offers and negotiated rates you have carry over to the new prices.
12. Leaving the program
- Month to month: you can leave any time from the portal. Service ends on the last day of that month, and you can change your mind until then.
- Your last month: billed as usual. Orders placed by your last day still ship. Membership and storage stop after that month.
- Your storefront: goes offline the day after service ends.
- Your stock: we return it free if you pick it up, or ship it at the actual postage cost. It's free either way if you're leaving before a price change.
- Unclaimed stock: we email you about stock still here 1, 30 and 53 days after service ends.
- At 60 days, we ship what's left to the return address you gave us, at your cost.
- If there's no address, or it can't be delivered, Cypress Grind may donate, recycle or destroy it.
- Cypress Grind never sells it or keeps it for itself.
- Your data: you can download your products, store content, photo links, orders (without customer names or addresses) and statements from the portal at any time, including after your account closes.
- If Cypress Grind ends the agreement:
- We give 30 days' notice by email, for any reason.
- We can end it immediately for prohibited items, a charge more than 30 days past due, illegal activity, or abuse of staff.
- Your stock and data are handled the same way as above.
13. Changes to this agreement
- We'll email you at least 30 days before a new version takes effect, and your portal will show it.
- If you don't want to continue under it, leave before it starts: the change never applies to you, and your stock goes back free.
14. Your storefront and content
- What stays yours: your brand, logos, designs, photos, words and products.
- What we can do with it: you let Cypress Grind store, copy and display them only as needed to run your storefront, portal and fulfillment.
- Editing: you edit your storefront in the portal. Riders don't supply code. Every Buy link must go to a checkout you own or a marketplace where you sell.
- Photos: uploaded photos are re-created without hidden location and camera details, and anyone with a photo's link can view it. Upload only photos meant for your public page.
- Promoting the program: Cypress Grind may show your name, logo and storefront link on Rider Program pages and Cypress Grind's social accounts to promote the program. Email us to stop.
- Your promises:
- you have the rights to what you upload and sell
- your products are lawful, accurately described and not prohibited items
- you handle customer claims and product recalls
- you'll cover Cypress Grind's reasonable costs if a claim arises from your products, your sales or your taxes
15. Privacy
- The Rider Program privacy notice at riders.cypressgrind.com/riders/privacy explains what we collect and why.
- Each rider's information is available only to that rider's team and Cypress Grind staff.
16. Service
- Hours: Cypress Grind works Monday to Friday, Central time, when the post office is open.
- Replies: we reply to portal requests and emails within 1 business day.
- Availability: we work to keep your storefront and portal running, but we can't promise they'll never go down.
17. Independent businesses
- You and Cypress Grind are independent businesses.
- You aren't an employee, agent or partner of Cypress Grind, and neither of us can make promises for the other.
18. Notices
- To you: we send notices by email to your account's owners and admins and your contact email.
- To us: send notices to info@cypressgrindco.com.
19. Law and disputes
- Texas law governs this agreement.
- If there's a disagreement, we'll first try to work it out by email for 30 days.
- After that, disputes go to the courts of Harris County, Texas.
20. Accepting
- You accept by clicking agree in the rider portal.
- Cypress Grind records the version, the date and time, and who accepted.
- You can see the version you accepted in your portal at any time.
- If you were already in the program before this agreement, nothing that already happened changes, and any offer on your account stays as assigned.
